Watch this - What we do The role & the team We are seeking a legal and governance expert with a passion for innovation in the technology and logistics industry. As the Company Secretary & Legal Counsel, you will play a pivotal role in shaping the future of our company. You will be a legal and compliance champion of Shippit, responsible for ensuring that our operations adhere to all legal requirements and that we maintain the highest standards of corporate governance. This role offers a unique blend of corporate governance, contract negotiation and strategic legal guidance, allowing you to make a significant impact on the success and growth of Shippit. This role will be part of the Legal team working in a part time capacity, 2 days per week with a hybrid blend of home & office. Day to day Company Secretary/Governance Coordinating end to end board and board committee meetings, including the timely dispatch of board and committee papers. Taking board and board committee meeting minutes, preparing agendas, explanatory memos, board resolutions and provision of general secretariat support. Ensuring compliance with statutory and corporate requirements including Corporations Law, Shippit’s constitution and shareholders’ agreement, company policies and directors’ duties, working closely with the Head of Legal and CFO. Reviewing and maintaining corporate governance initiatives, procedures and frameworks. Legal Reviewing and drafting a range of commercial contracts, including SaaS agreements, NDAs and supplier agreements Providing sound, pragmatic and commercial legal advice including in relation to privacy and consumer law Precedent/template development and management Supporting Shippit’s risk and compliance function Our ideal Shippster Company Secretary Previous company secretariat experience including as assistant, sole or shared company secretary at either listed or unlisted company Strong relationship skills, particularly at Executive/Board/Committee level combined with a highly developed verbal and written communication skills Highly organised and able to manage deadlines Legal 7 years post qualification experience Current NSW practising certificate Mix of private practice and in-house legal experience Strong commercial contract review and drafting skills essential Knowledge of privacy laws, cyber security, consumer laws and intellectual property desirable Life at Shippit Flexible Hybrid - ability to mix your working week between The Shippit office and your home office We are all builders - we share our successes Be rewarded with our Employee Share Option Plan Family & Paw friendly - generous parental leave policy and pet friendly office Be Healthy - Wellbeing Policy with strong focus on whatever makes you feel good from inside out.
