Our Opportunity As Legal Counsel, you will provide legal support in the area of litigation and disputes and corporate and governance functions across all asset classes. Your key responsibilities will include, but not limited to: Management of litigation and disputes for all asset classes including Development (Residential and Commercial & Mixed Use), Investments, Asset Management and Funds Management. Management of post completion issues and defects claims for residential development business across all States with consequential liaison with Mirvac Constructions and participation in post-completion meetings. Response to subpoena and third party production notices across all asset classes. General commercial contract review and drafting including consultancy agreements, sale agreements, investment management agreements and settlement deeds. Provision of legal support and advice to all parts of the business with respect to:corporate transactions such as M&A transactions, joint venture arrangements and third party capital arrangements; andcorporate governance matters including drafting charters and policies, assisting with the AGM and annual reporting process, and advising on continuous disclosure matters. Review of external communications (such as annual reports and ASX announcements) to ensure accuracy, drafting disclaimers and selling restriction language for external communications. General legal support to corporate functions such as IT, Risk, Compliance, Tax, Treasury, Finance, Human Resources and Stakeholder Relations. Review and drafting of standardised legal precedent documentation and provision of legal training to the wider Mirvac Group as appropriate. Your point of difference To be successful you will have a current NSW practising certificate, a Bachelor of Laws Degree and post admission experience ideally in the real estate sector, either in house or in private practice. Strong experience reviewing and drafting a range of contractual documents and settlement deeds as well as drafting internal and external legal communications is essential. Experience in corporate/commercial transactions and provision of advice on the Corporations Act (including AFSL and managed investment schemes regulations) and experience in provision of advice in areas of AML/CTF, privacy or real estate licensing/trust account regulations would be highly valued. Finally you will have a proven track record in providing critical and proactive legal and strategic input on a wide range of disputes and commercial transactions.
