Description At SmithNephew we design and manufacture technology that takes the limits off living. What will you be doing? This is a newly created position and will handle responsibilities in providing legal advice, support and contracting services to teams in direct and indirect markets in the Asia Pacific region with a focus on healthcare compliance, commercial contract drafting/review and negotiation. What will you need to be successful? Identify, manage and mitigate legal risk and opportunity in business activities within commercial projects, including development of bespoke contracts to support new healthcare/medtech product offerings and services. Strategic advice and support to Clusters and teams within the region on sales and go-to-market models and related customer contracts, third party seller arrangements and related commercial and operating models. Ensure consistent use of template agreements within the business (including without limitation customisation of template NDAs, service agreements, distribution agreements and consultancy agreements) Legal support to functional teams (Finance, HR, Procurement, Quality, Regulatory Affairs, Tax, Corporate, Compliance etc) as required. Support on goods and services agreements for Marketing, Professional Services and Procurement functions Advise and support on technology agreements (software subscription, service and support, SaaS/PaaS/IaaS agreements, digital and virtual product and service agreements etc.) Supporting on M&A and integrations as required within the region. Liaising with the Global IP team on intellectual property matters within the region. Supporting on litigation and investigations as required within the region. Assistance with promotional material review and digital media content review including websites (instructing external counsel where appropriate) Reporting on and managing legal fees and budget for external counsel Providing support for legal strategy, training, contract template development, key projects and initiatives as directed by the Global Commercial Legal team. Such other projects as may be delegated by VP APAC Legal or the Group General Counsel as required. Requirements: JD/Bachelor degree from a well-respected institution (Singapore/Australia/UK/US/Overseas) required as a minimum. Legal qualification in Australia/Singapore/UK/US required as a minimum. The role would suit someone with 5 years post qualification experience in a law firm/in house Life sciences and broad commercial transactional experience preferred. Would suit a candidate who is seeking a high degree of responsibility and development of client base/practice. Fluent in written and spoken English.
