Project Manager – Legal Entity Rationalisation Location: Melbourne or Sydney (Flexible) Role Type: Contract / Full-Time Position Overview We are seeking a seasoned Project Manager to lead a comprehensive Legal Entity Rationalisation (LER) program. This is not merely a divestment exercise; it is a holistic restructuring aimed at ensuring our corporate footprint is fit for purpose across multiple geographic locations. The successful candidate will evaluate the necessity of existing structures, manage the wind-down of redundant or legacy entities, and stand up new entities where strategic gaps exist. We need a hands-on leader who can navigate complex organisational blocks to ensure every legal entity within the group serves a clear, rationalised purpose. Key Responsibilities Strategic Rationalisation: Conduct a fit for purpose audit of all legal entities, identifying those requiring dissolution, merger, or geographic relocation. Entity Lifecycle Execution: Manage the end-to-end lifecycle of entities, from standing up new structures to the formal winding down and liquidation of smaller, non-essential businesses. Geographic Alignment: Coordinate the rationalisation of entities across different jurisdictions, ensuring regulatory and operational compliance during transitions. C-Suite Advisory: Act as a high-level surrogate for the CEO when engaging with executive stakeholders, providing clarity and driving decision-making in complex scenarios. Ambiguity Resolution: Work through the structural grey areas of divestments, acquisitions, and legacy wind-downs to create a clean, logical corporate map. Required Qualifications & Experience Specialised LER Experience: Demonstrated success in rationalisation programs that go beyond simple M&A, specifically including the winding down of entities and multi-geographic restructuring. Senior Stakeholder Management: Elite EQ with the ability to read the room and maintain trust while delivering sensitive structural changes to the C-Suite. Operational Agility: A roll up the sleeves mentality—capable of driving high-level strategy while managing the granular details of entity dissolution. Complex Problem Solving: Proven ability to work through ambiguity and organise shifting organisational blocks into a coherent structure.
