Click on the video below to learn more The Role The Legal Counsel, Investments provides investment legal advice and support on matters focusing on the effective management of the Fund’s investment portfolio and executing the investment strategy of the Fund. The provision of legal advice and guidance includes regulatory and compliance matters, drafting and negotiating or renegotiating investment agreements and side letters, assisting in managing investment related legal risks relating to the Fund while ensuring compliance with the Fund’s governance framework. This role will also be required to advise on commercial arrangements that support the Investment Team. As part of a small team, this role suits a legal professional looking for a supportive team culture, autonomy, ownership and true flexibility Key focus areas include: Legal Advice : The review, drafting and negotiation of investment management agreements, contracts, legal agreements and other legal documentation as they relate to the investment functions. Prepare, review and negotiate contracts, agreements and other legal documentation. Prepare, draft and negotiate agreements and documents to effect investments by the Fund. Analyse and interpret documents, from a legal perspective. Assist in undertaking legal due diligence of new acquisitions and disposals of assets. Participate in the legal and tax structures of new and existing investments. Maintain an awareness of new laws and Government policies, including prudential standards, consider impact on the Trustee’s operations and provide advice and briefings as required. Assist with advice, policy and compliance around ESG matters. Regulatory & Compliance Assist in the research and reporting on regulatory change and case law impacting the Fund. Assist in the provision of advice in the implementation of regulatory change. Contribute to the drafting of Board, Committee and Executive papers and other fund material as required. Assist in the review of marketing and other material in particular with Investments and ESG collateral review. Assist in the review of Fund policies as required. Support the Investments team in Incident and Breach reporting as required. Administrative Matters Maintain contracts and executed documents register. Manage the scheduling of contract reviews. Manage the legal document execution process on behalf on the Investments Team in line with the Fund’s policy. Assist with ESG exclusion lists and implementation of such lists. You have A current practicing certificate. 5 PQE with a law firm or as in-house counsel. Experience with superannuation law and/or financial services law. Proven experience working managing unlisted markets agreements. Familiarity with investment related documentation and investment structures within Australia and offshore. High level proven communication skills. The ability to work both independently and as part of a team. Proven ability of providing legal advice and risk considered solutions in relation to investments for superannuation funds. Desirable Knowledge of (or prior experience in) the superannuation industry.
