Reporting to a Director, Legal, the Manager, Legal will be responsible for assisting the Legal team to provide high quality legal advice and services on all matters relating to the organisation's investment, operations and related business activities. The role has a particular focus on Australian and offshore structured commercial transactions including fund investments, co-investments, joint ventures, direct investments, reconstructions and disposals across a range of asset classes in both public and private markets. The Manager, Legal will work with the General Counsel, Head of Legal and Directors of Legal to ensure the organisation's investment, operations and business activities are conducted in line with international best practice, within the limits prescribed by applicable law and that the organisation's rights are fully protected through the provision of legal advice and services. Key Tasks & Responsibilities Legal Advice and Service Provide timely, commercial legal advice and support to the organisation on a range of commercial investment and other transactional arrangements and issues Manage legal aspects of the implementation of public and private markets investment transactions, including the negotiation of transaction terms Coordinate aspects of the organisation's investment management agreements framework Review, draft and negotiate the organisation's commercial contracts including consultancy and other services agreements and operational contracts and arrangements Work with senior members of the Legal team to manage legal risk in accordance with relevant risk appetites including through contributing to internal training Liaise with external counsel in relation to the legal aspects of the organisation's investment, operations and related business activities Monitor proposed and new legislation and regulatory developments which may affect the organisation's activities Ensure compliance with the Commonwealth Legal Services Directions and all applicable laws as well as relevant organisational policies, procedures and positions Work with the Head of Legal to drive continuous improvement of the Legal team function including developing and updating precedents, legal policies, procedures, guidelines and positions Participate in, and contribute to, projects or initiatives of strategic importance to the Legal team and the organisation as required Relationship Management Work with senior members of the Legal team to develop and manage relationships with external lawyers and other professional advisors, including monitoring and managing legal fees expenditure and promoting efficiencies in the sourcing and use of external legal services Proactively support other Legal team members in their roles and contribute to a collaborative work environment Develop and maintain strong working relationships with key internal and external stakeholders and peers The key duties of the position include Skills and Competencies Qualifications A law degree from an Australian tertiary institution or other legal qualification recognised for the purpose of admission to legal practice in Victoria or another State of Australia is essential Admitted to practice in Victoria or another State of Australia as a solicitor and be currently eligible to hold a Victorian legal practising certificate Experience A commercial transactional lawyer with significant experience gained from a major commercial law firm and/or in-house in a high-quality commercial organisation advising on complex structured transactions ideally with either or both global investment and funds management law experience Excellent drafting and negotiation skills Demonstrated legal risk assessment and management experience Demonstrated ability to build and manage relationships and to work in partnership with others Demonstrated ability to not only provide legal input into matters, but to also add value from a solutions-focused, strategic, business point of view Attributes Has excellent interpersonal and communication skills including the ability to liaise with stakeholders at all levels Is able to build relationships, engage effectively in a team and demonstrate leadership where appropriate Is able to adapt to a busy and constantly evolving environment and manage time accordingly Shows initiative and is committed to striving to perform above and beyond expectation Demonstrates strong collaboration skills and actively contributes to shared goals Demonstrates a willingness to undertake tasks driven by stakeholder needs and team workloads Is commercially minded and solutions driven Has high attention to detail, is methodical and can follow issues through to completion Has a continuous improvement mindset and best practice attitude Has a mature, calm demeanour which is maintained under pressure
