About the role We're looking for an Assistant Company Secretary with a strong legal background, ideally from a law firm or corporate legal department. You'll manage corporate governance, structuring, and regulatory compliance, playing a key role in M&A, corporate formation, and banking relationships. This role will ensure that the company’s governance frameworks align with legal standards while supporting strategic business initiatives. Responsibilities: 1. Corporate Governance & Compliance Guarantee that the organization adheres to legal obligations, industry standards, and exemplary practices in corporate governance. Preserve statutory records and submit the required documents to governmental bodies. Protect corporate documents, including bylaws, board resolutions, stock ownership records, and minutes of board meetings. Act as the intermediary among the board, management, and shareholders to ensure effective and transparent communication. 2. Corporate Structuring & Planning Planning & Optimization of Holding Structures: Design and refine holding structures for the purposes of risk isolation, legal and financial safeguarding, tax efficiency, and operational adaptability. Corporate Formation & Restructuring: Oversee the legal aspects of establishing and reorganizing companies, including managing shareholder agreements, business licenses, tax registrations, and other corporate legal structures. Management of Banking Relationships: Act as the primary contact for banking partners, overseeing account applications and ensuring compliance with Anti-Money Laundering (AML), Counter-Terrorism Financing (CTF), and Know Your Customer (KYC) regulations. Foster strong and continuous relationships with banking institutions, ensuring prompt follow-up on inquiries and compliance assessments. 3. Mergers & Acquisitions (M&A) Lead and manage the due diligence process for M&A transactions, ensuring a comprehensive evaluation of financial, operational, and legal risks. Collaborate closely with management, legal, and financial teams to structure agreements that maximize value and mitigate risks. Facilitate communication among all parties, ensuring seamless transactions and proper alignment throughout the process. Requirements Bachelor's degree in Law or related field. Advanced degree preferred. 3-5 years of relevant experience in governance, structuring, or corporate law, preferably in a law firm or corporate legal department. Strong knowledge of corporate governance principles, M&A processes, and compliance regulations. Experience in managing banking relationships and legal structuring. Familiarity with AML, CTF, and KYC regulations. Excellent communication, interpersonal, and organizational skills, with attention to detail. Ability to work effectively with senior management and external stakeholders. Bilingual proficiency in English and Chinese.
