Position purpose: The Head of Governance & Legal role will lead EA’s legal and governance functions, ensuring compliance with regulatory requirements, enhancing regulatory risk management practices and aligning governance processes with the organisations strategic objectives. As an advisor to the CEO and Board, you will play a pivotal role in implementing best practice corporate governance and act as the conduit between the ELT, Board of Directors, National President and senior management. This is a senior leadership role responsible for the provision of legal and governance services to the Engineers Australia group as it embarks an exciting transformation period. Roles and Responsibilities: The role responsibilities include: Lead and manage governance risk by providing strategic legal and corporate governance advice to the Board, senior management and the business; Oversee and managing (maintain, enhance and continually improve) the company’s Governance Framework, including policies, procedures and controls to support optimised performance; Monitor and report on governance and legal performance and compliance to senior management and the Board; Oversee and lead the delivery of legal services to group operations by in-house legal counsel; Developing, implementing, communicating and maintaining governance policies, processes and procedures; and Monitoring management’s compliance with standing delegations from the Board (and reporting any breaches). The role reports directly to CEO and has four direct reports including an accomplished Company Secretary, Assistant Company Secretary and Legal Counsel. The successful candidate will be responsible for the preparation and effective running of main Board meetings and subcommittees meetings across Audit and Risk, People and Governance, Member and Stakeholder Strategy and Board Nominations. The role can be based in Sydney or Melbourne. Some interstate travel will be required in the role to attend Board meetings. Experience and capability A legal qualification is essential for the role as is a strong foundation in corporate governance practice and proven leadership capability at the Executive level. You will possess outstanding stakeholder management skills and demonstrate an ability to traverse a range of people across the organisation. You will ideally bring previous NFP, member-based experience managing company secretarial and legal functions. The successful candidate will have proven leadership and managerial experience and bring relevant professional qualifications in governance.
