The Opportunity: We are seeking a Senior Legal Counsel/Assistant Company Secretary to work closely with the General Counsel and Company Secretary to manage legal activities to protect Lynas’ interests and to ensure effective legal and company secretarial support to the Lynas Board. Tasks & Responsibilities: Act as a member of the Lynas Legal Team to manage all legal activities to protect Lynas’ interests Provide commercial and practical legal support to the Lynas business in a wide range of matters Ensure the company operates within all statutory and legal requirements across its jurisdictions Ensure compliance with ASIC and ASX requirements. Drafting, negotiating and advising on a broad range of commercial contracts and related matters. Drafting, negotiating and advising on major supplier agreements and project contracts. Provide effective administration of Board affairs: Assisting the Board with legal and secretarial support including the preparing, facilitating, and distributing Board and Committee papers, minutes and documentation and coordinating logistics for Board and Committee meetings and AGMs. Assist Company Secretary to ensure Company quarterly/half yearly/annual reports are submitted in accordance with ASX Listing Rules and ensure compliance with ASX Listing Rules. Providing advice on governance matters and update governance documentation that supports the Board. Act in accordance with principles of good corporate governance. Maintaining the Company’s governance documents and recommending amendments to the board and shareholders when necessary Contribute to the development of the Lynas business strategy Ensure effective and open relationships with internal Lynas stakeholders. Able to represent the Company in a professional manner. Skills and experience required for this role: Bachelor’s degree or equivalent in Law. Governance or company secretarial training and/or qualifications would be well regarded. Minimum 5 years PQE Previous experience in a similar role is preferably in mining or related industry. Be proactive and actively contribute to continuous quality improvement of the business.
