Legal & Governance Counsel — Melbourne, Melbourne Region

Our client is a dynamic ASX Listed organisation driving to make a difference for small businesses globally through their leading technical platform. Supported by a close knit in-house legal team, you will be a core member of the company secretarial function. Working closely with the Deputy Company Secretary, play a pivotal role in offering sound legal advice, company secretarial support and corporate governance advice to support the wider business objectives. In this broad governance role, you will be responsible for identifying, understanding, and advising on the implementation and administration of equity-based remuneration plans at both the employee and senior executive level. In partnership with the broader business stakeholders, you will assist in preparing and filing of annual and interim financial reports, managing the annual general meeting, provide advice related to key governance developments and manage the review of governance policies. You'll also be responsible for managing the appointment of non-executive directors. A strong understanding of corporate law, ASX Listing Rules and ASX Corporate Governance Principles are a must. The role will suit candidates 5 years experience in company secretarial and/or corporate governance. A law degree is advantageous, however not a prerequisite.
