About the job The Director, Legal & Governance, reporting to the Deputy Company Secretary, will deliver high quality company secretarial services to support the Worley Company Secretary function (CoSec), the Board of Directors and management. As a seasoned corporate governance professional, you'll contribute your knowledge of the Corporations Act and ASX Listing Rules together with outstanding communication skills to the high performing, diverse and collaborative CoSec team. Responsibilities Providing legal and corporate governance advice Drafting and finalising content that is the responsibility of the Company Secretary for Board and Committee meetings Project managing key corporate events (e.g. AGM) Preparing/coordinating public disclosures (e.g. Corporate Governance Statement, periodic reporting) Establishing and embedding processes to comply with legislation/regulations Automating and managing governance processes Coordinating external advisers What you'll have A proactive, detail-oriented individual with stellar communication skills and a track record of handling confidential information with integrity. Bachelor of Laws Eligible for admission to practice as a Solicitor of the Supreme Court of NSW (or equivalent) Substantial experience in a major law firm, ideally to senior associate level Proficiency in Corporations Act and ASX Listing Rules Experience in ASX-listed company secretarial matters Preferred: Graduate Diploma of Applied Corporate Governance and Risk Management (Governance Institute of Australia) or equivalent Why you should apply If you're ready to take on a new challenge and be a part of something truly special, we want to hear from you Apply now to become our next Director, Legal and Governance and help shape the future of Worley.
