Our client is seeking an experienced Legal Counsel to join their team and provide expert legal guidance across various facets of their operations. Reporting directly to the General Counsel, the successful candidate will play a pivotal role in ensuring compliance, mitigating risks, and facilitating strategic initiatives. Key Responsibilities: Providing comprehensive legal counsel on a range of contracts, including but not limited to EPC contracts, supply and install contracts, balance of plant contracts, PPAs/offtake agreements, connection agreements, and O&M agreements. Conducting thorough legal due diligence for site acquisition and development projects, ensuring compliance with relevant laws and regulations. Drafting, reviewing, and negotiating complex agreements to safeguard the company's interests and ensure regulatory compliance. Collaborating closely with internal stakeholders, including project managers and finance teams, to assess legal risks and develop proactive strategies to mitigate them. Assisting in resolving legal disputes and litigation matters, including coordinating with external counsel when necessary. Advising on risk management activities and implementing best practices to minimize legal exposure. Developing and delivering legal training programs to educate internal teams on legal matters relevant to their roles. Supporting corporate governance initiatives, including drafting board resolutions and ensuring compliance with company policies and procedures. Assisting in the review and negotiation of financing agreements, including project finance documents and loan agreements. Collaborating with external stakeholders, including government agencies and industry associations, to influence policy development and advocate for the company's interests.
