Head of Legal & Company Secretary — Canberra Region, Australian Capital Territory

We currently have an opportunity for a Head of Legal and Company Secretary to join our team, reporting to our Chief Financial Officer. This role will play a critical part in providing legal advice and support across all business units while acting as Company Secretary to its subsidiary entities. Job Description Your key responsibilities will include, but are not limited to: Provide legal advice to the Board, the Executive, Senior Leaders / Management, and other internal stakeholders. Provide legal advice on projects, transactions, contracts, and potential / actual disputes with third parties (including in relation to AFCA matters). As well as intellectual property matters (including the BBA group’s trademarks, business names, domain names, and copyright). Manage the conduct of litigation on behalf of BBA, including managing the services provided by external legal firms. Identifying and implementing ways to improve the efficiencies of the legal and company secretary areas of the bank. Undertake the development and coaching of direct reports, with a focus on continuous improvement, skilling, personal development, and engagement. Execute the duties and responsibilities of Company Secretary as required by the Corporations Act, the constitutions of the Group’s entities, and any other relevant legislation or regulation. Organise and manage BBA’s AGM and administer the BBA Board Director Election process to ensure compliance with BBA’s Constitution, BBA policies and the Corporations Act. Attend BBA Board meetings; Board Committee meetings; Nomination Committee meetings; subsidiary company board meetings; and members’ meetings (including the AGM). Desired Skills and Experience You will possess the following skills and experience: A minimum of 10 years’ experience (including general corporate / commercial law and banking / financial services law) Detailed knowledge of corporate governance best practice in Australia Post-graduate qualifications in relevant area or a commitment to continuing professional development. Knowledge of / experience in the following areas of law: privacy, contract, IP, IT, advertising, and marketing, AML/CTF, competition and consumer, wills and estates, employment. Knowledge of / experience in risk and compliance frameworks. Demonstrated experience in supporting Executives and Senior Management Strong legal drafting and negotiating skills. Proven ability to provide commercial and pragmatic legal advice and having regard to business objectives.
