About the role Austal are looking for a Legal Counsel who will be working closely with the Senior Legal Counsel, Commercial Manager and General Counsel. This role is responsible for providing the company with legal advice, to assist in the negotiation and execution of contracts, management of risk, resolution of disputes, governance and ensure compliance with applicable legislation. Key objectives & responsibilities include: Contracts and Tenders Good understanding of contractual issues Comprehensive and clearly worded agreements High level of accurate, commercially strategic advice and support Good working customer relationships are maintained All material risk are identified and acceptable conditions negotiated Facilitates successful conclusion of agreements Company Secretarial Compliance Understanding of, or willingness to learn, principles of ASX Listing Rules Litigation and Arbitration Cost effective use of external legal resources Unnecessary litigation avoided Settlement is commercially defensible and in the interests of Austal and shareholders Insurance Ability to prepare, track and manage insurance claims where appropriate Governance and Reporting Good understanding of governance requirements across the Group and the ability to update relevant procedures and reports where changes in legislation require same Promotion and championing of ESG activities into the business Enterprise and Project Risk Management Consistent application and assessment of risk across all levels of the business General Legal Advice Advice is legally accurate and position taken is defensible Advice is business oriented and consistent with Austal’s business strategy Advice is concentrated on areas of greatest efficiency/greatest value add In house counsel is seen as a value add team member Required Skills / Experience / Attributes: Hold a Construction safety induction (white card). Tertiary qualification in Law and requirements enabling admission to practice in Australia. Minimum of five (5) years PQE in corporate/commercial environment with a full exposure to financial legal matters. Experience in resolving contractual disputes essential. Demonstrated strong understanding of the core principles of contract law, construction law and Corporations law. An understanding of employment law would be well regarded. Previous exposure or a demonstrated knowledge of ship building industry and/or engineering concepts would be well regarded. Previous exposure or a demonstrated knowledge of Australian Department of Defence or government contracting (ASDEFCON suite) would be well regarded. Demonstrated high level of proficiency in providing practical, commercially focussed solutions to often complex contractual legal issues. Demonstrated capability to work as a part of a team.
