Legal Counsel (3 PQE) and Senior Legal Counsel (10 PQE) — The Rocks, Sydney

The Opportunities We have opportunities for Legal Counsel - including Senior Legal Counsel - to join our team of lawyers. The roles primarily involve advising and assisting bid teams and management in relation to CPB's tenders for contracts to deliver projects. In addition, advising and assisting projects in delivery on legal and contractual issues that arise. The projects tend to be high value, major undertakings governed by substantial and complex contracts. The focus of the roles will be particularly on major civil works, tunnelling and building projects in NSW, VIC, ACT and Tasmania. You will work with a range of client procurement models; these may include fixed price D&C contracts, EPC contracts, PPPs, target costs contracts and Alliance models. The roles can be based either in our Sydney or Melbourne offices. Legal advice will be provided in the context of applicable CPB Contractors and CIMIC Group policies and procedures. Reporting to the Legal Manager, the roles will primarily be accountable for: Reviewing proposed contracts and associated documents with requests for tenders. From these, identifying from a legal perspective key/substantial risks and reporting on these risks to tender teams. Proposing realistic strategies for addressing the Project risks identified. Drafting Commercial Risk Assessment (CRA) and meeting with tender teams and senior management to discuss Developing strategies to deal with the risks identified in consultation with tender teams. Where considered necessary and appropriate to depart from the client's proposed contract terms in the tender, drafting and developing tender qualifications. Negotiating contract amendments with clients, joint venture partners and external lawyers. Providing sign off advice in connection with the approval and execution of contracts in accordance with CPB and CIMIC policies and procedures. Drafting joint venture agreements, tender services agreements and a suite of project specific subcontracts, based on CPB's standard forms and assisting with negotiations. Advising project teams throughout lifecycle of projects on interpretation and contract administration issues, including strategy for dealing with delays, cost overruns and unexpected events. Instructing and managing external counsel where appropriate. Our minimum requirements for the roles are: Bachelor of Law (LLB or equivalent) Qualified to practice as a solicitor in an Australian jurisdiction - holding (or entitled to hold) current a practicing certificate For Senior Legal Counsel, 10 years post qualification experience, for Legal Counsel 3 years. Good front end construction contract experience Excellent communication skills - ability to communicate complex concepts clearly Excellent legal drafting skills Verbal reasoning skills - ability to interpret the precise meaning of written documents such as contracts, legislation, case decisions Risk assessment and risk mitigation skills - ability to identify risks/issues and offer practical commercially appropriate solutions to manage/ mitigate risks Negotiation and Influencing skills Commercial and business acumen Personal resilience, drive and motivation Ability to work autonomously and a can-do attitude Ethics & values consistent with CIMIC values We support diversity in the workplace.
