We have a great opportunity for a Senior Legal Counsel with 6-10 years post admission experience working in a Corporate M&A Team. If you are a technically skilled lawyer, strategic thinker, strong communicator and a self-starter who wants to make an impact on Domain's most interesting projects at a pivotal time in its growth journey, this role is for you. You'll manage a significant volume of interesting legal matters, facilitating the realisation of Domain's marketplace strategy. Who are you? In this exciting new role within the Corporate Legal Team, you will: ● Play a key role in deal teams working on strategic projects, mergers, acquisitions, divestments and joint ventures; ● Partner with senior stakeholders to ensure good Corporate Governance outcomes for the business, including advising on directors duties and decision making processes and working cross functionally with teams across the business in relation to responsible business practices, ESG and Annual Reporting; ● Manage your own matters and provide legal advice across the Domain Group, with a focus on supporting the corporate development, tax, finance and investor relations teams with legal advice to enable their day-to-day activities; ● Identify legal risks in business proposals or ideas put forward by the business and work closely with relevant stakeholders to assist them to achieve their goals in a way that is legally compliant and set up for success; ● Advise the business on the practical application and implications of laws including the Corporations Act 2001 (Cth) and the Privacy Act 1988 (Cth); ● Assist the business to interpret and navigate contractual commitments and statutory obligations; ● Roll up your sleeves to support the broader Legal Team with general commercial legal work such as negotiating customer agreements, managing disputes, protecting IP and entering into licensing and sponsorship agreements; ● Learn and grow your corporate legal practice under the guidance of a high-performing, supportive team of industry-recognised lawyers and governance professionals; and ● Be an ambassador for the Legal and Transformation Team among the broader Domain business. Experience: ● You will have a good foundation at a reputable law firm working in a Corporate M&A Team; ● Prior in-house experience (as a permanent team member or on a client secondment) would be highly advantageous, although not essential; and ● Prior experience working in data, technology and digital businesses would be well regarded. Technical Skill Set: You will: ● Give technically excellent legal advice across corporate, M&A and commercial legal matters; ● Have the ability to draft and negotiate core M&A and governance documents under light-touch senior supervision, including a working knowledge of shareholders agreements, share purchase agreements, subscription agreements, share transfer forms, board resolutions and similar documents; ● Be capable of identifying and assessing risks and opportunities, and providing advice and solutions which may include suggesting alternative ways forward; ● Have strong drafting and communication skills; and ● Have strong attention to detail and a desire to get to the bottom of complex issues. Business Skill Set: You will: ● Have strong commercial acumen and a business-focused mind, bringing a pragmatic and strategic approach to legal issues; ● Be a strong communicator and capable of breaking down complex concepts for a non-legal audience; ● Be comfortable picking up new and varied subject matters, working on whatever tasks need doing from time to time; ● Have plenty of 'get up and go' - being willing and able to pick up instructions, connect with the relevant business stakeholders and run with your matters, looping in and reporting back to the Head of Legal - Group Corporate, where required; ● Be energised by collaborating with others; ● Demonstrate strong horizontal leadership and influencing skills; and ● Have a hunger to learn and grow your career.
